Changes that require an Amendment Application:
Ownership Changes (Add/Remove/Change Equity Stake): Changes include, but are not limited to, the following: Change in owners, officers, members or managers and/or the addition or removal of persons named in the application or disclosed.
Purchasing an Entity: Changes include, but are not limited to, the following: Change in owners, officers, members or managers and/or the addition or removal of persons named in the application or disclosed. In the scenario where an individual or entity is proposing to purchase a 100% equity stake, the purchaser would submit an amendment application for an ownership change.
Change in Legal Entity Name: This would be a change of the official business name (the name that would be filed on the business tax returns). This is not to be confused with any assumed name the business may be operating under.
Converting an Entity: Converting a business from a Corporation to a Limited Liability Company or vice-versa may result in a change to the equity stake held by individuals/entities involved in the main-applicant (license holding) entity. The administrative rules identify applicants differently between a Corporation and a Limited Liability Company which may result in individuals/entities being added or removed from disclosure with the entity.
Asset Purchase: Changes include, but are not limited to, the following: Any attempted transfer, sale, or conveyance of an interest in a marijuana license. The direct purchase and/or transfer of a license from one entity to another will not be permitted. The purchase of all assets of a marijuana facility and/or establishment in order to operate the location under a new entity requires a proposed amendment application to be submitted to the agency.
Changes that require a Demographic Amendment Application:
Demographic Changes: Changes include the following: Individual's name, mailing address, email address or phone number.
Addition of an Assumed Name: Change in the name the business is operating under. This is not to be confused with a change in the legal name.
Changes that require a Reporting Form:
Enforcement changes: A Reporting Form must be submitted for the following proposed changes:
- Change of processing machinery or equipment.
- Any change or modification to the marihuana business before or after licensure that was not pre-inspected, inspected, or part of the marihuana business location plan or final inspection including, at a minimum, all of the following:
- Operational or method changes requiring inspection under the rules.
- Additions or reductions in equipment or processes at a marijuana business.
- Increase or decrease in the size or capacity of the marijuana business.
- Alterations of ingress or egress
- Changes that impact security, fire safety, and building safety.
- When an employee has been disciplined or removed from his or her position for misconduct related to marihuana sales or transfers.
- Any action by another party or employee in violation of the acts or rules.
- Reporting an unwanted fire.
- Any theft or loss of any marihuana product or criminal activity at the marihuana business.
Licensing Changes: A Reporting Form must be submitted for the following:
- Criminal convictions, charges, or civil judgments against a licensee in this state or any other state, federal, or foreign jurisdiction.
- Regulatory disciplinary action taken or determined against a licensee by this state or any other state, federal, or foreign jurisdiction, including any pending action.
- The initiation or conclusion of any new judgments, lawsuits, legal proceedings, charges, or government investigations, whether initiated, pending, or concluded, that involve the licensee.
- Notification of an alleged violation of an ordinance or a zoning regulation adopted pursuant to section 205(3) of the MMFLA, MCL 333.27205, or section 6 of the MRTMA, MCL 333.27956, committed by the licensee, but only if the violation relates to activities licensed under the acts, the Michigan Medical Marihuana Act, and these rules.
- Initiating a new, amended or terminated management, licensing, or other agreement.
Additional Forms:
Notification of Court-Appointed Representative Form: To notify the Agency of the appointment of a court-appointed personal representative, guardian, conservator, receiver, or trustee.
Authorization of Additional Contact Person Form: To add an additional individual to access information specific to an applicant/licensee and communicate with the Agency on behalf of the applicant/licensee.
Removal of Authorized Contact Person Form: To remove an individual(s) access to information specific to an applicant/licensee and their ability to communicate with the Agency on behalf of the applicant/licensee.
Request to Hire Prospective Employee Form: To be submitted to the Agency when attempting to hire an employee for a Medical licensee who has been charged with or convicted of a controlled substance related felony within the past 10 years. Click here for instructions on how to file.
Address Update Request Form: To be submitted to the Agency when making a minor change to a physical Address (suite number, street type, directional indicator, etc.). For address changes involving a new physical address or location, a new marijuana business license application is required.
