Resolution No. 2008-02 (Adopted 06/05/2008)-A Board Resolution Authorizing the Attorney General to obtain Outside Counsel to Assist with representing the Board in Bankruptcy Proceedings filed by Greektown Casino, L.L.C. and its entities

STATE OF MICHIGAN
THE MICHIGAN GAMING CONTROL BOARD

RESOLUTION NO. 2008-02

A Board Resolution Authorizing the Attorney General to obtain Outside Counsel to Assist with representing the Board in Bankruptcy Proceedings filed by Greektown Casino, L.L.C. and its entities

WHEREAS, the Michigan Gaming Control Board ("Board") is empowered by the Michigan Gaming Control and Revenue Act, MCL 432.201 et seq., ("Act") to execute and administer the Act and to promulgate rules as may be necessary to implement, administer, and enforce the Act; and,

WHEREAS, MCL 432.204(9) requires the Board to "employ personnel as may be necessary to carry out the functions of the Board" under the Act; and,

WHEREAS, MCL 432.204a(1)(r) permits the Board to delegate the execution of any of its powers under the act, with the exception of granting casino licenses, for the purpose of administering and enforcing the Act and its Rules; and,

WHEREAS, the Board has promulgated Rule 432.1214(a)(b), in which it delegated to its Executive Director all power and authority to act in the name of the Board with respect to all reasonable, necessary, and appropriate actions to administer and carry out the administrative and executive functions of the Board, including, but not limited to,

            (a) Executing and entering into contracts on behalf of the board; and

 
           (b) Incurring reasonable and necessary expenses in the name of the board in manner provided by law.

WHEREAS, Greektown Casino L.L.C. and its entities filed petitions for Chapter 11 Bankruptcy protection with the Federal Eastern District Bankruptcy Court on Thursday, May 28, 2008 and

WHEREAS , the nature of those Bankruptcy proceedings are complex and additional resources and expertise in this area of law is needed to assist the Assistant Attorney Generals representing the Board, and

WHEREAS , the Board believes that it is necessary and appropriate to authorize the Office of the Attorney General to obtain outside counsel on the Board's behalf to assist in representing the Board in bankruptcy proceedings as filed by Greektown Casino, L.L.C. and its entities, and

WHEREAS, the Board will fully reimburse the Attorney General and/or directly pay for all costs, fees and expenses associated with the hiring of outside counsel, and

NOW THEREFORE, IT IS RESOLVED that the Board authorizes the Attorney General to contract with outside counsel to assist in representing the Board in bankruptcy proceedings filed by Greektown Casino, L.L.C. and its entities.

ADOPTED AND ISSUED THIS 5TH DAY OF JUNE 2008.
