Submit Foreign Corporation Annual Report by Email

·Annual reports for foreign corporations.  Foreign corporations in good standing may submit their foreign annual report as an attachment to an email.

·To submit an annual report for a foreign corporation by email, a MICH-ELF Filer Account is required.  To set up a filer account, you must first submit form 901.  The filer number will be faxed back to you.

·Your foreign corporation annual report received by email is filed by the agency and will be returned by fax.

·If your email program is configured to open from within your browser window, the link below should open the email program on your computer and allow you to attach your completed prior year annual report or statement.  We currently accept MS Word, MS Excel, TIF and PDF file formats.  We should be able to accept Wordperfect files in the near future.

·If your email program is not configured to open from a browser window you can still submit your prior year annual report and statement electronically.  Send an email to cdfilings@michigan.gov with your prior year annual report or statement attached.

·Please note that any annual report or statement submitted must be completed, signed and saved to your computer prior to attaching to an email.

MICH-ELF PROCEDURES

1.      A MICH-Elf filer account is required before submitting the completed foreign annual report.  For non-expedited filings, the completed MICH-ELF application with your assigned filer number may be attached with the foreign corporation annual report.  There is an 11-page limit on the number of pages attached.

2.      If you have a filer number, attach a completed MICH-ELF cover sheet with your document or annual report, form 900

EXPEDITED SERVICES

1.      First time MICH-ELF users requesting expedited service must obtain a MICH-ELF filer number prior to submitting a foreign corporation annual report for expedited service.  Form 901

2.      For expedited service submit the completed form 272 along with the foreign corporation annual report and MICH-ELF cover sheet with your assigned filer number. 

  • Changes to information on a MICH_ELF filer account must be submitted before requesting expedited service.
  • To request expedited service, attach a separate Expedited Service Request Form for each report you submit for which you are requesting expedited service.
