Formation & Registration of Business Enterprises

The forms below are for use in drafting documents for various business entities. Additional information and definitions of the business entity types is available in the Department of Consumer and Industry Services Entrepreneur's Guide. The documents below are processed by the Department of Consumer and Industry Services.

Forming a Domestic Limited Liability Company

Form Name & Number			Description
Articles of Organization (Form 700)			Used to draft articles to form a Michigan Limited Liability Company (non-professional).
Articles of Organization (Professional Service) (Form 701)			Used to draft articles to form a Michigan Limited Liability Company for the purpose of providing a professional service (doctor, lawyer, accountant, etc.).
Certificate of Assumed Name (Form 541)			For corporations, limited partnerships, or limited liability companies to transact business under a name other than the name of the corporation, limited partnership or limited liability company.
Articles of Organization and Certificate of Conversion (Form 753)			Used to draft articles for a conversion of a domestic partnership or domestic limited partnership to a Michigan limited liability company (non-professional).
Articles of Organization and Certificate of Conversion (Professional Limited Liability Company) (Form 753p)			Used to draft articles for a conversion of a domestic partnership or domestic limited partnership to a Michigan limited liability company for the purpose of providing a professional service in a learned profession.

Forming a Domestic Limited Partnership

Form Name & Number			Description
Certificate of Limited Partnership (Form 401)			Complete certificate to form a Michigan Limited Partnership (domestic limited partnerships only).

Register as a Domestic Limited Liability Partnership

Form Name & Number			Description
Application to Register a Limited Liability Partnership (Form 800)			Complete this application to register a limited partnership or a partnership as a limited liability partnership in Michigan.

Qualify a Foreign Limited Liability Company to Transact Business in State

Form Name & Number			Description
Application for Certificate of Authority to Transact Business (Form 760)			Foreign (organized somewhere other than Michigan) limited liability companies desiring to transact business in Michigan complete this application.

Register a Foreign Limited Partnership to Transact Business in State

Form Name & Number			Description
Application for Registration to Transact Business (Form 411)			Foreign (organized somewhere other than Michigan) limited partnerships desiring to transact business in Michigan complete this application.

Qualify a Foreign Corporation to Transact Business in State

Form Name & Number			Description
Application for Certificate of Authority (Form 560)			Foreign corporations (any corporation formed outside of Michigan, including those formed in another state or another country) should complete this application to apply for authority to transact business or conduct affairs in Michigan.
Application for Registration of Corporate Name (Form 545)			Foreign profit corporations that do not transact business in Michigan may complete this application to register their name in Michigan.
Certificate of Assumed Name (Form 541)			Certificate required for corporations, limited partnerships, limited liability companies that will transact business under a name other than the name of the corporation, limited partnership or limited liability company.

Form a For-Profit Domestic Corporation

Form Name & Number			Description
Articles of Incorporation - For Profit (Form 500)			Used to draft articles to form a Michigan for-profit corporation (non-professional).
Articles of Incorporation (Professional Service) (Form 501)			Used to draft articles to form a Michigan for-profit corporation for the purpose of providing professional service (doctor, lawyer, etc.) in a learned profession.
Certificate of Dissolution (before commencement) (Form 530)			Domestic corporations that elect to dissolve before commencing business should complete this form. Completion of the form is allowed only if operations have not yet begun.
Certificate of Assumed Name (Form 541)			Certificate required for corporations, limited partnerships, limited liability companies that will transact business under a name other than that of the corporation, limited partnership or limited liability company should complete this form.

Form a Nonprofit Domestic Corporation

Form Name & Number			Description
Articles of Incorporation - Nonprofit (Form 502)			Use to draft articles to form a domestic, nonprofit corporation in Michigan.
Articles of Incorporation - Ecclesiastical (Form 503)			Use to draft articles to form an ecclesiastical corporation in Michigan.
